1. Introduction

Welcome to RadimySM ("we," "us," "our," or "RadimySM"). These Terms of Use ("Terms") govern your access to and use of the RadimySM console application, mobile application, website, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, Free Speech Policy, Community Guidelines, and Copyright Policy (collectively, the "Agreement"). If you do not agree to these Terms, you must not use the Service.

3. The Service

3.1 What We Provide

RadimySM is a free live audio streaming platform designed for talk, commentary, interview, and discussion content. The platform allows you to:

• Create and broadcast your own live talk radio station using the console application
• Manage your station's schedule, hosts, and shows
• Interact with listeners in real-time through chat, talkback, and caller queue features
• Receive payments from listeners through optional paid features (MegaChat, Priority Queue, donations)
• Access listener analytics and engagement metrics

3.2 Service Availability

We strive to keep the Service operational and accessible. However, the Service is provided "as is" and we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, for maintenance, updates, legal compliance, or other reasons.

4. Age Requirements and Eligibility

4.1 Minimum Age

You must be at least 18 years old to create and operate a radio station using the console application. If you are under 18, you may not use the console or broadcasting features.

4.2 Eligibility

You represent that you have the legal capacity to enter into this Agreement. You may not use the Service if you have been previously banned or if your account has been terminated for violating our policies.

5. User Accounts

5.1 Account Requirements

To use the console application, you must create a verified account with a valid email address. You must verify your email address before you can broadcast or access monetization features.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Use a strong, unique password
• Not share your account with others
• Notify us immediately if you suspect unauthorized access
• Keep your email address current and verified

5.3 Account Information

You agree to provide accurate, current, and complete information when creating your account. You must update your information promptly if it changes. Providing false information may result in account suspension or termination.

5.4 Email Verification

If you change your email address, you will be temporarily unable to broadcast until you verify your new email address. This is necessary to maintain account security and prevent abuse.

6. Your Use of the Service

6.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity for the purpose of fraud, scams, or deception
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Collect or harvest personal information about other users
• Upload viruses, malware, or other malicious code
• Engage in any activity that could harm minors

6.2 Content Rules

When broadcasting, using chat, or creating content, you must comply with our Community Guidelines and Free Speech Policy. Prohibited content includes but is not limited to:

• Content that incites violence based on race, ethnicity, or religion
• Child sexual abuse material (CSAM)
• Credible threats of violence
• Spam, scams, or fraudulent content
• Content that violates intellectual property rights

7. Station Creator Responsibilities

7.1 Content Focus and Music Restrictions

Permitted Music Use:

Music is permitted only as incidental content to support your talk programming, including:

• Show intros, outros, and transitions (bumpers, stingers)
• Brief background music during talk segments
• Jingles, sound effects, and audio branding elements
• Short music clips for commentary, review, or criticism (fair use)

Prohibited Uses:

• Operating a station primarily focused on music playback (DJ sets, playlists, music mixing)
• Playing full songs or extended music segments as the main content
• Broadcasting copyrighted music without proper licensing
• Using the platform as a music streaming service

Your Responsibility:

You are solely responsible for ensuring all audio content (including music, sound effects, samples, and clips) is either:

• Created by you
• Properly licensed for broadcast use (e.g., ASCAP, BMI, SESAC if applicable)
• Royalty-free or public domain
• Used under fair use doctrine (commentary, criticism, news reporting)

RadimySM does not provide music licenses. We reserve the right to suspend or terminate stations that:

• Operate primarily as music stations
• Receive DMCA takedown notices or copyright complaints
• Violate music licensing requirements

7.2 Station Content

As a station creator, you are responsible for all content broadcast on your station. You must comply with our Free Speech Policy and applicable laws. You may enable or disable chat and talkback features for your station.

7.3 Monetization

Station creators may receive payments from listeners through optional paid features. These payments are treated as royalties and may be subject to tax withholding as required by law. You are responsible for reporting and paying any applicable taxes on income received through the Service.

7.3a MegaTalk Purchases and MegaTalk Credits

A MegaTalk is a purchase of a one-time live on-air call with a station's host. Because a live call depends on the host and station being available, a MegaTalk is non-refundable once purchased. If the call cannot be delivered — for example the host is offline, the station goes off air, the queue is unavailable, a technical or connection failure occurs, or you leave the queue before your call — your purchase automatically converts to a MegaTalk Credit ('raincheck') redeemable for one future MegaTalk of the same amount at the same station, at no additional cost. MegaTalk Credits are station-specific and amount-locked (usable only at the station where the original purchase was made, for the same amount), have no cash value, are non-transferable, and expire 12 months after the original purchase date (expiry period subject to applicable local law). If a retry using a Credit also cannot be delivered, the Credit is returned for further retries until the call is delivered or the original 12-month period ends. If a MegaTalk Credit cannot be used because the station is no longer available, contact support — where the app stores permit, a store refund may be arranged. The full MegaTalk Credit Policy in the app forms part of these Terms.

7.4 Talkback and Emergency Blocking

When using the talkback feature to allow live caller interaction, you are responsible for monitoring and moderating all caller content in real-time. The Service enforces a minimum 8-second broadcast delay when talkback is enabled to provide you with time to react to inappropriate content. If you believe you need additional reaction time, you may configure a longer delay (up to 179 seconds) based on your ability to monitor and respond to caller content.

If a caller attempts to violate these Terms, our policies, or applicable laws (including but not limited to doxxing, threats, or sharing illegal content), you must immediately use the emergency block feature to disconnect the caller and prevent the content from being broadcast. The broadcast delay gives you time to activate emergency blocking before inappropriate content reaches your listeners.

Failure to use emergency blocking when required may result in account suspension or termination. You acknowledge that you are the broadcaster and bear responsibility for all content transmitted through your station, including caller contributions during talkback sessions. By enabling talkback, you confirm that you have configured an appropriate broadcast delay for your monitoring capabilities and accept full responsibility for moderating caller content.

Following an emergency block, you will be given the option to permanently block the listener from your station. You should block any listener who violates these Terms, our policies, or applicable laws, including but not limited to those who:

• Attempt to broadcast inappropriate, offensive, or illegal content
• Make threats, engage in harassment, or attempt doxxing
• Repeatedly disrupt your broadcast or abuse interactive features
• Violate our Community Guidelines or Free Speech Policy

Permanently blocked listeners will be unable to access your station, including listening to broadcasts, joining the talkback queue, participating in chat, or voting in polls. Blocking abusive listeners helps protect your community and reduces your liability as a broadcaster. You may view and manage blocked listeners at any time through the Console settings.

7.5 Sponsorships and Host-Read Advertising

Station owners are permitted to secure their own sponsors and to broadcast host-read sponsored content on their stations. "Host-read" means you personally read or present the advertisement live during your broadcast. You retain 100% of all revenue generated from host-read sponsorships and advertisements. RadimySM does not claim any portion of host-read sponsorship revenue.

You are solely responsible for:

• Negotiating and fulfilling sponsorship agreements
• Ensuring sponsored content complies with these Terms and applicable advertising laws
• Disclosing sponsored content to your listeners as required by law (e.g., "This segment is brought to you by...")
• Reporting and paying any applicable taxes on sponsorship income

Pre-recorded or programmatic advertisements (ads that are not read live by you) are not permitted without prior written authorization from RadimySM and may be subject to revenue sharing arrangements.

All sponsored content, whether host-read or otherwise, must not violate our policies or promote illegal activities, or harmful products/services.

7.6 Sponsor App Link Subscriptions

RadimySM offers an optional paid service called "Sponsor App Link" that allows station owners to display their sponsor's name, logo, and (depending on the tier) a clickable website link within the RadimySM mobile listener app during their broadcasts.

Two subscription tiers are available:

• Basic ($9.99/month per sponsor) — Displays the sponsor's name and logo in the listener app during your broadcast.
• Premium ($19.99/month per sponsor) — Displays the sponsor's name, logo, and a clickable link to the sponsor's website in the listener app during your broadcast.

Sponsor App Link subscriptions are billed monthly through Stripe. This is a platform service fee paid by the station owner to RadimySM — it is separate from any sponsorship revenue you negotiate directly with your sponsors.

Cancellation: You may cancel a Sponsor App Link subscription at any time through the Console. The sponsor's app link will remain active until the end of the current billing period, after which it will no longer be displayed in the listener app.

Refunds: Sponsor App Link subscriptions are non-refundable for partial billing periods. If you cancel mid-cycle, you will continue to receive the service until the end of the period you have already paid for.

You are responsible for ensuring that any sponsor logos, names, and website links you provide are accurate, non-infringing, and comply with these Terms. RadimySM reserves the right to remove any sponsor content from the listener app that violates our policies.

8. Content and Intellectual Property

8.1 Your Content

You retain ownership of any content you create, upload, or broadcast through the Service ("Your Content"). However, by providing Your Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Host, store, reproduce, and distribute Your Content
• Display Your Content to other users of the Service
• Modify or adapt Your Content for technical purposes (e.g., transcoding audio)
• Use Your Content to promote and improve the Service

This license continues for a commercially reasonable period after you delete Your Content to allow for caching and backup purposes.

8.2 Content Responsibility

You are solely responsible for Your Content. You represent and warrant that:

• You own or have the right to use Your Content
• Your Content does not violate any third-party rights
• Your Content complies with these Terms and applicable laws

8.3 Our Content

The Service, including its design, features, software, and branding, is owned by RadimySM and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our permission.

8.4 Copyright Infringement

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please follow the DMCA process outlined in our Copyright Policy. We will terminate accounts of repeat infringers.

9. Prohibited Activities

In addition to the restrictions outlined above, you must not:

• Create multiple accounts to evade bans or restrictions
• Manipulate metrics (views, likes, followers) through artificial means
• Share or distribute sexually explicit content involving minors
• Promote illegal activities or substances
• Attempt to reverse engineer or decompile the Service
• Use the Service for commercial purposes without authorization
• Circumvent any access or use restrictions

10. Account Suspension and Termination

10.1 Termination by You

You may terminate your account at any time through the console settings. Upon termination, you will lose access to all features, and your content may be deleted.

10.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms or our policies
• We are required to do so by law or court order
• Your conduct creates liability or harm to us, other users, or third parties
• Your account has been inactive for an extended period

We will provide notice of termination when possible, but we may terminate immediately in cases of serious violations or legal requirements.

10.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination will remain in effect.

11. Disclaimers and Limitations

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11.2 No Liability for User Content

We are not responsible for user-generated content, including content broadcast by station creators or shared in chat/talkback. We do not endorse, support, or guarantee the accuracy of user content.

11.3 Third-Party Content

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of third-party sites.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCUID SM RADIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless RadimySM, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes by:

• Posting the updated Terms in the console application
• Sending you an email notification
• Displaying an in-app notification

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You agree to waive your right to participate in class action lawsuits.

These Terms, together with our Privacy Policy, Free Speech Policy, Community Guidelines, and Copyright Policy, constitute the entire agreement between you and RadimySM.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

15.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms to any affiliate or successor.
